Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Vessara LLC ("Vessara," "we," "us," or "our"), a limited liability company organized under the laws of the United States. By accessing or using our website at vessara.co and any related services, APIs, or applications (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree with these Terms, you may not access or use the Service.

1. Overview of the Service

Vessara provides an AI-powered background removal tool designed for e-commerce sellers, businesses, and developers. The Service includes a web-based image processing tool, a REST API, and related features available through a free tier and a pay-as-you-go pricing model.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Keep your login credentials confidential
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate any account at our sole discretion, with or without notice.

4. Pricing and Payment

4.1 Free Plan

Vessara offers a free tier with a limited number of API credits. Free plan usage is subject to the same Terms and restrictions as paid usage.

4.2 Pay-As-You-Go

Beyond the free tier, Vessara operates on a pay-as-you-go model. You purchase API credits in advance, which are consumed as you use the Service. All fees are stated in U.S. Dollars (USD). Purchased credits are non-refundable except as required by applicable law.

4.3 Credit Usage

Each API call consumes a defined number of credits based on the operation performed. Credit balances do not expire. Vessara reserves the right to adjust credit pricing with reasonable notice to you.

4.4 Refunds

Purchased credits are generally non-refundable. Refund requests for exceptional circumstances should be submitted to [email protected] and will be evaluated on a case-by-case basis.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, process, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
  • Upload content depicting minors in any inappropriate context
  • Generate deepfakes, manipulated media for deception, or any content intended to mislead others
  • Transmit viruses, malware, or any code of a destructive nature
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Interfere with or disrupt the integrity or performance of the Service

We reserve the right to remove any content and suspend or terminate accounts that violate these Terms.

6. User Content

6.1 Ownership

You retain all ownership rights to the images and content you upload to the Service ("User Content"). Vessara does not claim any ownership of your User Content.

6.2 License to Vessara

By uploading User Content, you grant Vessara a limited, non-exclusive, royalty-free license to process, store temporarily, and transmit your content solely for the purpose of providing the Service.

6.3 Content Handling

Images uploaded to the Service are encrypted in transit and at rest. User Content is automatically deleted from our servers within 24 hours of processing. We do not use your images for AI model training, marketing, or any purpose other than providing the Service.

6.4 Responsibility

You are solely responsible for your User Content. You represent and warrant that you have all necessary rights and permissions to upload and process your content through the Service.

7. API Usage

7.1 API Access

API access is available to all users with sufficient credits. API usage is subject to rate limits and usage quotas based on your account tier.

7.2 API Keys

You are responsible for maintaining the confidentiality of your API keys. Any activity conducted using your API keys is your responsibility. You must not share, publish, or expose your API keys in client-side code or public repositories.

7.3 Rate Limits

API rate limits vary by account tier. Exceeding your rate limits may result in throttling or temporary suspension of API access. We reserve the right to modify rate limits with reasonable notice.

8. Intellectual Property

8.1 Vessara's IP

The Service, including its design, software, algorithms, documentation, and branding, is the exclusive property of Vessara LLC and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right to use Vessara's trademarks, logos, or branding without prior written consent.

8.2 Processed Output

You retain all rights to the processed images generated by the Service from your User Content. Vessara claims no ownership of processed output.

9. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the Service or any part thereof
  • Rent, lease, sublicense, or otherwise transfer access to the Service
  • Use the Service for benchmarking or competitive analysis
  • Scrape, crawl, or use automated means to access the Service outside of the provided API
  • Circumvent any access controls, rate limits, or security measures
  • Resell the Service or API access without prior written authorization from Vessara

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. VESSARA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VESSARA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO GUARANTEES REGARDING THE ACCURACY, QUALITY, OR RELIABILITY OF ANY PROCESSED OUTPUT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VESSARA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE.

VESSARA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VESSARA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

12. Indemnification

You agree to defend, indemnify, and hold harmless Vessara LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your User Content

13. Termination

13.1 By You

You may terminate your account at any time by contacting us at [email protected] or through your account settings.

13.2 By Vessara

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately.

13.3 Effect of Termination

Upon termination, all licenses granted to you under these Terms will immediately terminate. Sections that by their nature should survive termination shall survive, including but not limited to Sections 6, 8, 10, 11, 12, and 15.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between you and Vessara with respect to the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

The failure of Vessara to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. Vessara may assign these Terms without restriction.
